General Terms & Conditions
Article 1 – Scope of Application
- In these General Terms and Conditions and elsewhere on the website, Okodos shall mean: Okodos Technologies, registered with the Dutch Chamber of Commerce (KvK).
- These General Terms and Conditions apply to every distance contract concluded between Okodos and the customer (hereinafter: the “buyer”), including but not limited to orders placed by the buyer with Okodos via www.okodos.nl, and to the delivery of products and/or services under such contracts. Any reference by the buyer to their own general terms, purchasing conditions, or similar conditions, and any reliance thereon, is expressly rejected by Okodos.
- By placing an order, the buyer confirms acceptance of and agrees to be bound by these General Terms and Conditions, and declares that they have read and understood them.
- These General Terms and Conditions will be provided upon request and may also be consulted at any time via the above-mentioned website.
Article 2 – Formation of the Agreement
- The agreement is concluded at the moment Okodos receives the buyer’s acceptance of the offer, which occurs when the buyer places an order with Okodos.
- Okodos shall promptly confirm receipt of the buyer’s acceptance of the offer by electronic means. Until such confirmation of receipt has been sent, the buyer is entitled to cancel the agreement.
- Orders cannot be amended or cancelled once they have been placed.
- Okodos reserves the right to refuse or decline any order, without stating reasons.
Article 3 – Storage of Order Data
- Okodos respects the buyer’s privacy and, in this context, applies a Privacy Policy which forms an integral part of these General Terms and Conditions. The most recent version of the Privacy Policy is available on the website.
- The buyer who provides personal and/or contact details (such as name, address, and place of residence) in connection with the agreement warrants that such information is accurate, complete, and up to date.
Article 4 – Prices and Payment
- All prices on our website are listed in euros (EUR). For customers outside the Eurozone, prices may be displayed in a different currency when another country is selected on the checkout page. In such cases, payment may be processed in the selected currency. The final price at checkout may vary depending on the applicable exchange rate, delivery address, payment processing fees, shipment insurance options, and other factors at the time of the transaction.
- All prices may be subject to typographical and clerical errors. Prices are exclusive of shipping costs, unless expressly stated otherwise.
- The prices referred to in the preceding paragraph shall not be increased by Okodos after the agreement has been concluded, unless such increase is required by law or results from interim price increases imposed by the manufacturer and/or supplier. In such case, the buyer is entitled to terminate the agreement by written notice to Okodos.
- Payment may be made using the payment methods indicated on the website.
Article 5 – Images and Specifications
- All product images, as well as related specifications, dimensions, and information displayed on the Okodos website, are provided for illustrative purposes only. The product ultimately delivered to the buyer may differ to a limited extent in color, position, size, or other details from the images or specifications shown. Such deviations do not constitute non-conformity with the agreement.
- Obvious errors or manifest mistakes relating to paragraph 1 of this article, as well as those referred to in Article 4, paragraph 1, shall not be binding on Okodos.
Article 6 – Delivery
- Okodos shall exercise the utmost care in receiving and fulfilling orders. The place of delivery shall be the (email) address or physical address provided by the buyer to Okodos.
- Unless agreed otherwise, Okodos delivers only to the specified physical address. Only one delivery address may be specified per order.
- Unless stated otherwise, Okodos shall process accepted orders within five (5) business days after the agreement has been concluded, and in any event no later than thirty (30) days thereafter.
- If delivery is delayed beyond the aforementioned thirty (30) days, the buyer shall be informed as soon as Okodos becomes aware of such delay. Okodos shall be deemed to be in default only after the buyer has given written notice of default, granting Okodos a reasonable additional period to perform, and performance has still not taken place. In such case, the buyer is entitled to terminate the agreement, in whole or in part, free of charge. Alternatively, a different delivery period may be agreed upon or a substitute product may be supplied by mutual agreement.
- If an order cannot be fulfilled or can only be partially fulfilled, the buyer shall be informed as soon as Okodos becomes aware of this. In such case, the buyer is entitled to terminate the agreement, in whole or in part, free of charge.
- In the event of termination as referred to above in sections 5 and 6, Okodos shall promptly refund any amounts paid by the buyer. The buyer shall not be entitled to any compensation or damages.
- Claims for damaged or broken items can only be made if the shipment was insured. If your shipment includes insurance, please inspect the contents in the presence of the courier upon delivery. If any items are damaged, an official claim must be made immediately. If a claim is not made at the time of delivery and damage is discovered later, the courier company may assume the items were damaged after delivery and may refuse the claim. We will require the claim reference in order to process any claim with the insurer.
- Any duties and taxes for international shipments are the responsibility of the buyer.
Article 7 – Orders Shipped to the European Union – Special Provisions Applicable to EU Deliveries:
- Notwithstanding the above, if the merchandise is being shipped into the European Union, after the product has been received by the buyer or a third party designated by the buyer (other than the carrier), the buyer has a period of fourteen (14) days in which to withdraw from the agreement without giving any reason. This period shall commence on the day after the product is received, or, in the case of partial delivery, on the day after all products and/or components of the order have been received by or on behalf of the buyer. To exercise the right of withdrawal, the buyer must inform Okodos of the decision to withdraw from the agreement by means of an unequivocal statement (e.g. in writing by post or by email) sent to: info@okodos.com.
- Where applicable, the buyer shall return the products as soon as reasonably possible, but in any event no later than fourteen (14) days after submitting the declaration referred to in paragraph 1, in the manner specified by Okodos . The burden of proof for the timely return of the delivered products rests with the buyer, for example by providing proof of shipment or delivery.
- The products must be returned by registered mail in their original packaging (including all accessories and accompanying documentation), with the original or comparable protective materials, and in the condition in which they were received by the buyer, i.e. unused, intact, and undamaged. The direct costs of returning the products shall be borne by the buyer.
- During the withdrawal period, the buyer shall handle the products and packaging with due care. The buyer may only unpack or use the products to the extent necessary to assess whether he wishes to retain them. The buyer shall be liable only for any diminution in value of the products resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the products.
- Following a valid withdrawal, Okodos shall refund all payments made by the buyer, including the initial delivery costs, within fourteen (14) days after receipt of the declaration referred to in paragraph 1. Okodos may withhold reimbursement until it has received the returned products or until the buyer has provided evidence that the products have been returned, whichever occurs first.
- If the buyer has chosen a more expensive method of initial delivery than the least expensive standard delivery offered, Okodos is not required to reimburse the additional costs for the more expensive delivery method.
- As above, the buyer will handle the products and packaging with care during the cooling-off period. He will only unpack or use the products to the extent necessary to assess whether he wishes to keep the product.
- The current Article 7 applies exclusively to orders and / or deliveries within the European Union and shall not apply to orders and / or deliveries outside the European Union.
- As the buyer, you are responsible for arranging and returning the product. Accordingly, all return shipping costs shall be borne by you. An exception applies where the return concerns a DOA (Dead on Arrival) product or a product that is defective upon receipt. In such cases, and provided the request is made within the applicable warranty period, you may request a return shipping label from our support department by contacting info@okodos.com.
- . Our team will assess whether you are entitled to receive a return label.
Article 8 – Reservation of Ownership
- To the extent permitted by law, Okodos reserves ownership of all products supplied by Okodos until full payment has been received of the purchase price for all products supplied or to be supplied by Okodos to the buyer under the relevant agreement, as well as under any prior or subsequent similar agreements, including any interest and/or costs due.
- The buyer is not permitted to pledge, encumber, or otherwise grant any security interest in the products subject to the reservation of ownership.
Article 9 – Warranty and Conformity
- Okodos warrants that the products supplied by it comply with the statutory requirements of usability, reliability, and durability as reasonably intended by the parties to the agreement.
- Where possible, the buyer is obliged to inspect, or have inspected, the delivered product(s) immediately upon receipt. If it appears that a product has been delivered incorrectly, is defective, or is incomplete, the buyer must notify Okodos of such defects immediately after discovery and prior to returning the product, either directly or by email to info@okodos.com.
In the case of a buyer purchase defects or incorrectly delivered products must be reported no later than one (1) month after delivery. In all other cases, such defects must be reported within a reasonable period after delivery or, where applicable, after discovery.
Products must be returned by registered mail, in their original packaging (including accessories and accompanying documentation), in the condition in which they were received, and in accordance with the instructions provided by Okodos. - If it is established that the delivered product(s) do not conform to the agreement, Okodos shall, at its discretion, repair or replace the product(s) free of charge, or enter into a written settlement with the buyer regarding compensation.
- The buyer may not invoke the warranty referred to in paragraph 1 if the delivered product(s) have been exposed to abnormal conditions, if the buyer has failed to exercise due care in their use or maintenance, if the products have been used contrary to the instructions of Okodos and/or the user manual, or if the buyer has repaired or modified the products themselves or has had such repairs or modifications carried out by third parties.
- Warranty terms may vary by product and are specified on the applicable product pages or invoices.
- Products that are physically damaged, lack the original invoice, or fall outside the applicable warranty period are not eligible for warranty coverage.
- If, after examination, the goods are determined to be in proper working order and any alleged malfunction or lack of functionality is attributable to the buyer’s insufficient knowledge, incorrect use, or misinterpretation of the product’s operation, no refund shall be granted. In such event, the goods shall be returned to the buyer at the buyer’s sole expense.
- All returned merchandise must be in its original, unused, clean, and undamaged condition. Returns of merchandise that shows signs of damage, wear, alteration, programming, overheating, electrical damage, or any other form of use or tampering shall not be accepted.
- All returned products must be accompanied by the original, undamaged packaging and must include all supplied accessories delivered with the product. This includes, but is not limited to, cables, anti-static packaging, boxes, manuals, software, licenses, and any other tangible or intangible accessories. Returns that are incomplete or not submitted in their original condition may be refused.
- It is the buyer’s responsibility to ensure that returned goods are delivered to Okodos. Returns must be sent using a reliable and traceable method of shipping. Okodos shall not be held liable for any goods that are lost, delayed, or damaged in transit during the return process.
- All costs associated with the return of products, including shipping and handling, are the sole responsibility of the buyer. Okodos shall not be responsible for any shipping costs related to products being returned to Okodos or for the return of properly functioning items to the buyer.
Article 10 – Liability
- Okodos shall not be liable for any damage caused to other property resulting from improper use of its products.
- Any liability of Okodos for damage is excluded, this includes, but not limited to, consequential or indirect damages, loss of profit, or any other form of additional compensation, except in cases of intent or gross negligence on the part of Okodos, its suppliers, or its auxiliaries.
- If, for any reason beyond the control of Okodos, the buyer is unable or fails to take delivery of a product due to non-compliance with the requirements set out in Article 3, paragraph 2, Okodos shall not be liable for any resulting damage and shall not be obliged to deliver a replacement product.
- The liability of Okodos, and any resulting compensation, shall in all cases be limited to the invoice value of the relevant products.
Article 11 – Complaints Procedure
- Okodos has an adequately publicized complaints procedure in place and handles all complaints in accordance with this procedure.
- Complaints regarding the performance of the agreement must be submitted to Okodos within a reasonable period after the buyer has identified the shortcomings. Such complaints must be submitted in writing, fully and clearly described, via info@okodos.com.
- Complaints submitted to Okodos will make every reasonable effort to provide a response within three (3) business days, calculated from the date of receipt. If a complaint is expected to require a longer processing time, Okodos will, within this period, send an acknowledgment of receipt and indicate when the buyer can expect a more detailed response.
Article 12 – Non-Consumer Transactions or business orders
- Any agreement and/or order entered into with a buyer acting in the course of a profession or business — including, but not limited to, non-consumer transactions, orders containing one or more products available exclusively to business customers, and/or orders placed by business clients — may be classified as a business order.
- Certain articles and provisions of the General Terms and Conditions, returns and / or the Refund policy do not apply to business orders . Please refer to Article 12 paragraph 3 in the General Terms and Conditions for further details. However, exceptions may be granted at our sole discretion on a case-by-case basis. To request an exception, you must submit a written request to info@okodos.com, If a return is approved, we reserve the right to refuse the return or to apply a restocking fee, as applicable.
- The following provisions of these terms and conditions shall explicitly not apply insofar as the agreement is concluded with a buyer acting in the course of a profession or business (business orders):

- Article 9, paragraph 3 in this General Terms & Conditions, concerning repair and replacement;
- Article 1, paragraph 1 in Refund policy, concerning return policy;
- Article 1, paragraph 5 in Refund policy, concerning the stated right of withdrawal;

Article 13 – Miscellaneous Provisions
- If any provision of these terms & conditions - and / or any provision of other policies on this website - is held to be null and void or otherwise non-binding by a competent court, the remaining provisions shall remain in full force and effect. The invalid or non-binding provision shall, by mutual consultation, be replaced without delay by a provision that most closely reflects the intent and purpose of the original provision.
- The United Nations Convention on Contracts for the International Sale of Goods (CISG) , also known as the Vienna Sales Convention, is expressly excluded and shall not apply.
- All agreements between Okodos and the buyer to which these web-shop policies shall be governed exclusively by Dutch law.
- The competent court shall have exclusive jurisdiction to hear disputes between Okodos and the buyer, unless Okodos selects to submit the dispute to the competent court of the buyer’s place of residence.
